Following our article on “Minister of Law Regulation No. 49 of 2025: What Every PT in Indonesia Must Know,” this update focuses on the annual report obligation as well as a reminder for limited liability companies in Indonesia to comply with the Minister of Law (“MOL”) Regulation No. 49 of 2025 on the Requirements and Procedures for the Establishment, Changes and Dissolution of Limited Liability Companies (“MOL Regulation No. 49/2025”), which came into effect on 17 December 2025.
Under MOL Regulation No. 49/2025, the Board of Directors (“BOD”) of a limited liability company is required to convey the annual report to the General Meeting of Shareholders (“GMS”) after being examined by the Board of Commissioners within a period of no later than 6 (six) months after the end of the company’s financial year.
The approval of the annual report by the GMS shall be recorded in a notarial deed. The BOD is required to file the GMS approval for the company’s annual report (in a notarial deed format) and the annual report through a notary to the MOL within a period of no later than 30 calendar days of the date of the notarial deed.
The MOL through the Director General of General Legal Administration, shall issue a receipt for notification letter upon receipt of the approval of the annual report.
A company that fails to fulfil its obligations or exceeds the deadline for submitting the approval of the annual report by the GMS will be subject to certain administrative sanctions, in the form of a written warning and blocking of access to the Legal Entity Administration System (Sistem Administrasi Badan Hukum or SABH).
Based on a recent announcement by the Director General of General Legal Administration, the administrative sanction will come into effect in November 2026. However, companies are encouraged to comply with the above requirement as soon as possible, for compliance purposes.
